Qualifications
Qualifications4+ years of experience in fund formation within the investment management sector. Comprehensive understanding of the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934, and FINRA regulations. Active member in good standing of the Utah Bar or another state/jurisdiction. Prior experience in a law firm or in-house role at an asset management firm is advantageous. Demonstrated interpersonal and leadership abilities. Open to learning new concepts and adapting to a dynamic business environment. Highly organized and detail-oriented with an ability to see the bigger picture.

iCapital Network is on the lookout for a skilled Fund Attorney at the Assistant Vice President or Vice President level to become a key member of our Funds Legal team. This role primarily focuses on U. S. and Cayman private funds and encompasses a variety of responsibilities, including representing both open-end and closed-end private funds on matters such as compliance, regulatory challenges (both U. S. and international), capital raising, marketing strategies, investor relations, fund formation and structuring, along with corporate transactional issues. The ideal candidate will possess robust regulatory expertise (including familiarity with Regulation D and the Investment Company Act of 1940) and a strong background in drafting and negotiating private fund documents, side letters, placement agreements, and associated materials.
