Your Role – Company Secretary
We seek a seasoned Company Secretary to play an integral role in NIRA's regulatory governance and board operations. Reporting directly to the Head of Compliance, this position is pivotal to our NBFC transition and ongoing compliance strategy.
This opportunity is ideal for someone who thrives in a dynamic fintech setting, working collaboratively with senior leadership, regulators, and external advisors.
Your Impact
Ensure comprehensive compliance with the Companies Act, 2013, RBI Master Directions for NBFCs, and relevant FEMA regulations.
Oversee all statutory registers, regulatory filings, and disclosures to the MCA, RBI, and other regulatory bodies.
Monitor and implement regulatory updates applicable to NBFCs and fintechs, ensuring timely and precise adherence.
Coordinate and manage Board, Committee, and General Meetings, including the preparation of agendas, notices, resolutions, and minutes.
Advise the Board on best practices in corporate governance, directors’ responsibilities, and compliance requirements.
Support the licensing process for NBFC and ongoing RBI compliance, including regulatory returns, CRAR filings, and inspections.
Manage corporate structuring and transactions, including share issuances, capital injections, investor documentation, and liaising with external legal counsel.
Your Profile
Qualified Company Secretary with significant experience in compliance and governance, preferably within the fintech or financial services sector.
Strong understanding of the regulatory landscape for NBFCs, including relevant laws and best practices.
Exceptional organizational and communication skills, with the ability to work collaboratively across teams.
